§ 1 Definitions
1.1 Customer(s): means any natural person who books, purchases, attends, and/or otherwise uses services offered by the Studio, irrespective of whether such services are booked online or in person.
1.2 Low Income Plan: means a reduced-price membership plan offered by the Studio to eligible Customers subject to the applicable eligibility requirements and conditions set out in clause 4.1.2 of these Terms and Conditions.
1.3 Prevention Courses: means yoga courses certified or designed in accordance with applicable German preventive healthcare regulations and requirements.
1.4 Service(s) Offered: means all services, classes, memberships, programs, events, and other offerings provided by the Studio from time to time, including in particular the ones described under section 4 of these Terms and Conditions.
1.5 Studio: means the entity VILLAE YOGA Melanie Giese, owned and operated by Melanie Giese, located at Hauptstraße 17, 24536 Neumünster, Germany, reachable via e-mail under info@yoga-nms.de or other contact details as provided on the Website www.yoga-nms.de.
1.6 Studio Website: means the website under the domain yoga-nms.de.
1.7 Stripe: means the company commercially known as Stripe as provided on www.stripe.com.
1.8 Studio's Booking System: the one found on the Studio Website or done in person in the Studio's facilities.
§ 2 Scope of Application
These Terms and Conditions apply to all services offered by the Studio, including but not limited to the Monthly Membership(s), Prevention Courses, class cards, drop-in classes, private sessions, Workshop(s), events, as well as to all contracts concluded between the Studio and Customers, whether booked or entered into the Studio Website or in person at the Studio facilities.
Any conflicting, deviating, or supplementary terms and/or conditions to the ones set herein will not apply unless expressly agreed in writing by the Studio.
These Terms and Conditions are provided in both German and English language versions. In the event of discrepancies, inconsistencies, or interpretation differences between the language versions, the German version shall prevail to the extent permitted by applicable law.
§ 3 Contract Formation
3.1 Online Registration and Booking Process
By completing and submitting the registration form for the applicable service and/or class on the Studio's website, accepting to these Terms and Conditions and the Right of Withdrawal Notice by ticking the corresponding checkboxes, and completing the payment process via the payment service provider Stripe, the Customer submits a binding offer to conclude a contract with the Studio.
3.2 In-Person Registration
For registrations completed in person at the Studio facilities, the Customer submits a binding offer to conclude a contract by completing the registration form, which references or includes these Terms and Conditions and the Right of Withdrawal Notice, and by completing the applicable payment process.
3.3 Conclusion of Contract
The contract between the Customer and the Studio is concluded upon confirmation of the booking by the Studio, issuance of a payment receipt, or acceptance of payment by the Studio in writing, depending on the applicable booking method.
3.4 Acceptance of Terms and Conditions
Before completing an online booking, the Customer must expressly confirm acceptance of these Terms and Conditions and the Right of Withdrawal Notice by ticking the corresponding checkboxes during the booking process on the Studio's website.
For in-person registrations, these Terms and Conditions and the Right of Withdrawal Notice shall be referenced in the payment receipt provided to the Customer, via the link to: https://www.yoga-nms.de/agb-en. Alternatively, these Terms and Conditions and the Right of Withdrawal Notice may be attached directly to the payment receipt issued to the Customer.
§ 4 Services Offered
4.1 Monthly Memberships
4.1.1 General Provisions
The Monthly Memberships are recurring membership models granting the Customer access to a defined number and type of yoga classes and/or Studio services on a monthly basis in accordance with the selected membership plan offered by the Studio.
Classes offered under the Monthly Membership model are group classes and do not include individual or private instruction, special classes or formats, including workshops, prevention courses, and other separately bookable events.
The Monthly Membership shall renew automatically on a month-to-month basis unless and until terminated in accordance with the applicable termination provisions set out in clause 8 of these Terms and Conditions.
Unused classes or participation entitlements within a given calendar month shall expire at the end of that month and shall not roll over into subsequent months. Unused classes automatically expire at the end of the applicable validity period without entitlement to replacement, refund, credit, or any other form of compensation, except where required by mandatory applicable law.
Use of group classes under a Monthly Membership requires advance reservation through the Studio's booking system in accordance with Clause 7.1 of these Terms and Conditions.
The Monthly Membership is personal to the Customer, non-transferable, may not be shared between multiple persons, and may only be used during the active membership term.
The General Provisions set out in this Clause 4.1.1 shall apply to all Monthly Membership plans described in the following subsections 4.1.2 Low Income Plan, 4.1.3 Under-Age Kids & Teenagers Yoga Plan, and 4.1.4 Monthly Membership Plans, unless expressly provided otherwise therein.
4.1.2 Low Income Plan
The Low Income Plan entitles the Customer to regular participation in the weekly class programme in accordance with the selected membership plan. Workshops, prevention courses, private instruction, and other special formats are excluded unless expressly agreed otherwise in writing.
The Low Income Plan is intended for Customers with limited financial means. Eligibility must be verified after booking either by email or in person at the Studio by providing appropriate supporting documentation, including in particular a valid student identification card (Studentenausweis) or Bürgergeld notice (Bürgergeldbescheid).
If eligibility cannot be sufficiently demonstrated or has been falsely represented, the Studio reserves the right to retroactively adjust the membership to the applicable standard membership rate.
4.1.3 Under-Age Kids & Teenagers Yoga Plan
The Kids & Teenagers Yoga Plan entitles the participating child or teenager to participate in the respective yoga classes designed for children and/or teenagers offered by the Studio in accordance with the selected membership plan and applicable class schedule.
The Kids & Teenagers Yoga Plan and all classes conducted thereunder are intended exclusively for children and teenagers between four (4) and eighteen (18) years of age.
Registration and conclusion of the corresponding membership agreement must be carried out by a parent or legal guardian. The parent or legal guardian shall be responsible for ensuring that the participating child or teenager is physically and mentally fit to participate in the respective classes.
The Studio reserves the right to reasonably determine age groups, participation requirements, and class suitability in order to ensure an appropriate, safe, and age-appropriate learning environment for all participants.
4.1.4 Monthly Membership Plans
The following Monthly Membership plans are offered by the Studio:

4.2 Class Cards
4.2.1 General Provisions
The Class Cards are prepaid participation models granting the Customer access to a defined number and type of eligible yoga classes in accordance with the selected Class Card offered by the Studio, which may only be used within the validity period specified in each program from the date of purchase.
The scope of participation rights, eligible class formats, and permitted use of each Class Card shall be determined exclusively by the respective Class Card selected by the Customer and the applicable provisions set out within this section of these Terms and Conditions.
The Class Cards are personal to the Customer, non-transferable, may not be shared between multiple persons, and may only be used within the applicable validity period.
Unused classes automatically expire at the end of the applicable validity period without entitlement to replacement, refund, credit, or any other form of compensation, except where required by mandatory applicable law.
Use of group classes under a Class Card requires advance reservation through the Studio's booking system in accordance with Clause 7 of these Terms and Conditions.
The Class Cards may not be exchanged, credited toward other services, or converted into a Monthly Membership, Drop-In Class, Private Class, Workshops or Events.
If illness substantially prevents use of the Class Cards during their validity period and is evidenced by an appropriate medical certificate, the Studio may, at its reasonable discretion, extend the validity period once for up to six (6) weeks.
The General Provisions set out in this Clause 4.2.1 shall apply to all Class Card plans described in the following subsections 4.2.2 Yoga 10 Class Card - Group, 4.2.3 Yoga 10 Class Card – Private, 4.2.4 Prevention Course Card, and 4.2.5 Class Card Plans, unless expressly provided otherwise therein.
4.2.2 Yoga 10 Classes Card - Group
The Yoga 10 Class Card - Group entitles the holder to participate in up to ten (10) eligible group classes of 60 or 90 minutes during the applicable validity period and in accordance with the selected plan offered by the Studio.
Classes offered under the Yoga 10 Class Card - Group model are group classes and do not include individual or private instruction, workshops, prevention courses, retreats, and other separately bookable events.
The Yoga 10 Class Card - Group has a validity period of three (3) months from the date of purchase.
4.2.3 Yoga 10 Classes Card – Private
The Yoga 10 Class Card – Private entitles the holder to participate in up to ten (10) eligible classes of 60 or 90 minutes during the applicable validity period and in accordance with the selected plan offered by the Studio, consisting of private yoga sessions and/or eligible group classes attended by the holder. Classes offered under the Yoga 10 Class Card - Private model do not include workshops, prevention courses, retreats, and other separately bookable events.
Participation in eligible group classes under the Yoga 10 Class Card – Private requires advance reservation in accordance with subsection 4.2.1 General Provisions of Section 4.2 Class Cards.
Appointments for private classes shall be arranged directly with the respective instructor and confirmed by email or through the Studio's booking system.
Cancellations of private classes must be communicated in writing at least twenty-four (24) hours before the scheduled class time. If a cancellation is not made in time or the Customer does not attend the scheduled class, the respective class shall be deemed used and deducted from the Class Card.
The Yoga 10 Class Card - Private has a validity period of six (6) months from the date of purchase.
4.2.4 Prevention Course Card
Prevention Courses are yoga classes designed by the Studio that are certified or conducted in accordance with applicable German preventive healthcare regulations and comply with the requirements of the Zentrale Prüfstelle Prävention.
The Prevention Course Card entitles the Customer to participate in ten (10) eligible classes of 90 minutes each, during the applicable validity period and in accordance with the selected plan offered by the Studio. Classes offered under the Prevention Course Card model do not include workshops, retreats, and other separately bookable events.
Any eligibility for reimbursement of Prevention Course fees by a statutory or private health insurance provider depends solely on the respective insurance provider's individual requirements, attendance thresholds, approval procedures, and final decision. The Studio does not guarantee reimbursement in whole or in part and assumes no responsibility for the approval or denial of any reimbursement claim. In particular, the Studio shall not be liable for, nor obligated to compensate, reimburse, refund, or otherwise cover, any amount not reimbursed by the respective health insurance provider, whether in whole or in part. Any non-reimbursed portion of the Prevention Course Card fees shall remain solely the responsibility of the Customer and shall not give rise to any claim against the Studio.
If the Customer does not attend a booked Prevention Course session or fails to satisfy any attendance requirements imposed by the applicable health insurance provider, no entitlement to replacement sessions, substitute classes, extension of the course period, refund, reimbursement, credit, or any other form of compensation shall arise unless expressly agreed otherwise in writing by the Studio or required by mandatory applicable law.
The Prevention Course Card has a validity period of ten (10) consecutive weeks from the date of purchase.
4.2.5 Class Card Plans
The following Class Card plans are offered by the Studio:

4.3 Drop-In Classes - Single Bookings
4.3.1 General Provisions
Drop-In classes, also referred to as "single bookings", are one-time bookings entitling the Customer to participate in one eligible group class of the selected type and duration, including 60-minute or 90-minute classes, as specified at the time of booking. Drop-In classes do not include individual or private instruction, workshops, prevention courses, retreats, or other separately bookable events.
Participation in Drop-In Classes requires advance reservation through the Studio's booking system in accordance with Clause 7 of these Terms and Conditions or booking in person at the Studio.
Drop-In Classes are personal to the Customer, non-transferable, may not be shared between multiple persons, and are valid only for the specific class booked. If the Customer does not attend the booked class, no entitlement to replacement, refund, credit, or any other form of compensation shall arise, except where required by mandatory applicable law.
Drop-In Classes may not be exchanged, credited toward other services, or converted into a Monthly Membership, Class Card or Private Class.
The General Provisions set out in this Clause 4.3.1 shall apply to all Drop-In Classes - Single Bookings plans described in the following subsection 4.3.2 Drop-In Classes - Single Bookings Plans, unless expressly provided otherwise therein.
4.3.2 Drop-In Classes - Single Bookings Plans
The following Drop-In Classes - Single Bookings plans are offered by the Studio:

4.4 Private Classes
4.4.1 General Provisions
Private Class bookings are one-time bookings entitling the Customer to participate in one eligible private yoga class of the selected type and duration offered by the Studio, including 60-minute or 90-minute classes, as specified at the time of booking. Private Classes do not include workshops, prevention courses, retreats, or other separately bookable events.
Appointments for private classes shall be arranged directly with the respective instructor and confirmed by email or through the Studio's booking system.
Cancellations of private classes must be communicated in writing at least twenty-four (24) hours before the scheduled class time. If a cancellation is not made in time or the Customer does not attend the scheduled class, the respective class shall be deemed attended and forfeited.
Private Classes are personal to the Customer, non-transferable, may not be shared between multiple persons, and may only be used for the specific class booked. If the Customer does not attend the booked class, no entitlement to replacement, refund, credit, or any other form of compensation shall arise, except where required by mandatory applicable law.
Private Classes may not be exchanged, credited toward other services, or converted into a Monthly Membership or Class Card.
The General Provisions set out in this Clause 4.4.1 shall apply to all Private Classes plans described in the following subsection 4.4.2 Private Class Plans, unless expressly provided otherwise therein.
4.4.2 Private Class Plans
The following Private Class plans are offered by the Studio:

4.5 Workshops & Events
4.5.1 General Provisions
Workshops and Events are separately bookable offerings of limited duration organized by the Studio, including special classes, courses, seminars, training sessions, and other events, which may differ in structure, content, duration, format, or pricing from regular yoga classes.
A Workshop or Event booking entitles the Customer to participate in the specific Workshop or Event selected at the time of booking in accordance with the booked format and duration offered by the Studio.
Workshop and Event bookings are binding and reserve a place for the Customer in the respective Workshop or Event.
Participation in Workshops and Events may require advance reservation through the Studio's booking system in accordance with Clause 7 of these Terms and Conditions or booking in person at the Studio.
Workshops and Events are personal to the Customer, non-transferable, may not be shared between multiple persons, and are valid only for the specific Workshop or Event booked.
Workshops and Events may not be exchanged, credited toward other services, or converted into a Monthly Membership, Class Card, Drop-In Class, or Private Class unless expressly agreed otherwise in writing by the Studio.
The Customer shall be solely responsible for arranging and bearing the costs of travel, accommodation, meals, insurance, visas, and any other expenses associated with participation in the Workshops and Events, unless expressly included in the respective Retreat description.
Workshops and Events are conducted subject to a minimum number of four (4) participants. If the minimum number of participants is not reached at least five (5) days before the scheduled Workshop or Event date, the Studio reserves the right to cancel the respective Workshop or Event in accordance to the terms specified in Clause 8.5 of these Terms and Conditions.
In the event of cancellation, postponement, relocation, or modification of Workshops and Events, the Studio shall not be responsible for any travel, accommodation, meal, insurance, or other third-party costs incurred by the Customer, except where such liability cannot be excluded under mandatory applicable law.
4.5.2 Workshop Plans

4.6 Online Classes
4.6.1 General Provisions
The Studio may offer certain classes, workshops, prevention courses, events, or other services in an online format ("Online Classes"), including dedicated online-only membership plans granting Customers access exclusively to online or virtual classes and services offered by the Studio.
Participation in any Online Classes requires the Customer to provide and maintain, at their own responsibility and expense, the necessary technical requirements for participation. Any costs, charges, fees, or expenses associated with such technical requirements, including internet access, telecommunications services, software, hardware, or third-party platform usage, shall be borne exclusively by the Customer and will not be reimbursed, compensated, or otherwise assumed by the Studio. Such costs are independent from and in addition to any fees payable for the respective Online Classes.
The Studio does not guarantee uninterrupted availability, compatibility, or error-free operation of the Online Classes, the platforms through which Online Classes are provided, or any related transmissions or internet connections. Temporary technical disruptions outside the Studio's reasonable control shall not constitute grounds for replacement, refund, credit, or any other form of compensation except where required by mandatory applicable law.
Access credentials, participation links, login information, and other access data provided for Online Classes are personal to the Customer, confidential, non-transferable, and may not be shared with third parties unless expressly authorized in writing by the Studio.
The recording, reproduction, distribution, publication, livestreaming, screenshotting, downloading, modifying, editing, transmitting, sharing, making available to third parties, or any other use or exploitation, whether in whole or in part, of the Online Classes or any audio, video, teaching materials, recordings, documents, or other content provided in connection with the Online Classes, is strictly prohibited unless expressly authorized in writing by the Studio.
The Studio reserves all intellectual property, copyright, and related rights over the Online Classes and all associated and derived materials and content.
Participation in Online Classes requires advance reservation through the Studio's booking system in accordance with Clause 7 of these Terms and Conditions or booking in person at the Studio.
The Studio may create photographs, audio recordings, video recordings, or screenshots in connection with Online Classes for documentation, training, quality assurance, marketing, or promotional purposes where legally permissible. Where required by applicable law, the Studio shall obtain the necessary consent prior to the creation or publication of recordings in which individual participants are identifiable.
Customers are responsible for disabling their camera, microphone, display name, or other identifying features where they do not wish to appear in recordings to the extent technically possible.
4.6.2 Online Only Plans
The following Online Class plans are offered by the Studio:

§ 5 Prices
5.1 General Pricing Provisions
All prices for the Services Offered by the Studio are stated in Euro (EUR) and are final prices.
The prices applicable to the Services Offered are set out in the pricing tables and plans contained in Clause 5.2 of these Terms and Conditions, as well as on the Studio's booking platform, or otherwise communicated by the Studio at the time of booking or conclusion of the contract. In the event of any discrepancy between the prices stated in these Terms and Conditions and the prices displayed on the applicable booking page at the time of booking, the price displayed on the applicable booking page shall prevail.
Unless expressly agreed otherwise in writing by the Studio, payment for any of the Services Offered shall be due in full in advance and no later than the time of booking of the respective service. Access to or participation in the respective Service Offered may be refused until full payment has been received by the Studio.
5.2 Price Lists and Plans
The prices of the current Services Offered by the Studio are set out in the below pricing tables and form an integral part of these Terms and Conditions.

5.3 Price Adjustments
The Studio reserves the right to modify prices for future Services Offered and bookings in accordance with these Terms and Conditions and applicable law. Any adjusted prices shall apply exclusively to future Services Offered and future payment periods from the effective date of the respective adjustment onward. Bookings, prepaid services, and other Services Offered already fully paid before such effective date shall not be affected.
Any price adjustment affecting a Service Offered shall be communicated to the Customer in writing at least fifteen (15) days before the adjusted price becomes effective.
5.4 Special Promotions and Discounts
Any promotional offers, discount campaigns, introductory offers, vouchers, reduced-price plans, or other special conditions offered by the Studio are voluntary, temporary, and subject to the specific conditions communicated by the Studio in writing and in connection with the respective offer.
Promotional offers and discounts may not be combined with other discounts, transferred, exchanged for cash, or applied retroactively to already completed bookings or existing contracts.
§ 6 Payment Terms
6.1 Accepted Payment Methods
Payments for Services Offered may be made through the payment methods accepted and made available by the Studio at the time of booking and/or payment, including in particular Stripe, SEPA Direct Debit (SEPA-Lastschrift), bank transfer, debit card, credit card, cash payment, or other payment methods designated by the Studio.
Payment processing for online bookings may be carried out through external payment service providers, including in particular the company commercially known as Stripe. The respective payment service provider's terms and privacy policies may additionally apply to payment transactions processed through such provider.
The Studio does not store any payment data, including credit card numbers or bank account details. The transfer of payment data to Stripe is necessary for the performance of the contract. Stripe's own privacy and data protection policies shall apply to payment processing services provided by Stripe.
The Studio reserves the right to offer, restrict, modify, or reject certain payment methods at its reasonable discretion.
6.2 Due Dates
Payment for all Services Offered shall be due in full in advance and no later than the time of booking, registration, or commencement of the respective service.
Access to or participation in the respective Services Offered may be refused, suspended, or terminated until full payment has been received by the Studio.
6.3 Monthly Membership Payments
Monthly Membership fees shall be payable either (i) from the date of booking, in which case the membership fee for the initial period shall be calculated on a pro rata basis until the end of the applicable calendar month, or (ii) from the first (1st) day of the following calendar month, as selected by the Customer at the time of booking. Following the initial period, the Monthly Membership shall renew automatically on a month-to-month basis, and the applicable membership fee shall be due in advance on the first (1st) day of each calendar month unless and until terminated in accordance with the applicable termination provisions set out in these Terms and Conditions.
Where Monthly Membership is booked online, recurring membership payments shall be processed automatically on a monthly basis through the payment method selected during the booking process, including through Stripe or other payment providers designated by the Studio. By completing the booking process and selecting a membership plan, the Member expressly authorizes and consents to the recurring monthly charges associated with the selected membership.
Where a Monthly Membership is concluded in person at the Studio, the Customer may be required to provide valid payment details and authorize a SEPA Direct Debit mandate (SEPA-Lastschriftmandat) or other recurring payment authorization for future membership payments. The renewal payments shall thereafter be processed automatically on a monthly basis via Stripe, SEPA Direct Debit, or such other designated payment provider or payment method communicated by the Studio.
The Client shall ensure that all payment information and authorizations remain valid and up to date throughout the duration of the membership term. In the event that any automatic renewal payment cannot be successfully processed due to insufficient funds, expired payment credentials, revoked SEPA authorization, or any other payment failure, the Member shall remain fully responsible for the outstanding amounts and shall promptly provide an alternative valid payment method upon request. The Studio reserves the right to suspend access to classes, facilities, or membership benefits until all outstanding amounts have been paid in full.
6.4 One-Time Bookings
Unless expressly agreed otherwise in writing, payment for one-time Services Offered, including in particular Drop-In Classes, Class Cards, Prevention Courses, Private Classes, Workshops, Events, Online Classes, and other prepaid services, shall be due in full at the time of booking.
Bookings shall become binding and effective only upon successful receipt of payment by the Studio.
6.5 Invoices
Invoices, payment confirmations, booking confirmations, and receipts may be issued electronically and transmitted by email or through the applicable booking or payment platform.
The Customer shall ensure that the contact and billing information provided to the Studio is accurate and up to date.
6.6 Failed Payments / Default
In the event of failed payments, rejected payment transactions, insufficient funds, expired payment methods, revoked payment authorizations, returned SEPA Direct Debit transactions, chargebacks, or other payment failures attributable to the Customer, the Customer shall remain fully responsible for all outstanding amounts.
The Studio reserves the right to suspend or deny access to Services Offered, classes, memberships, Workshops, Events, Online Classes, facilities, or participation rights until all outstanding amounts have been paid in full.
The Studio may charge a reasonable processing fee of EUR 5.00 per failed or returned payment transaction where legally permissible.
Repeated late payments, repeated failed payment transactions, continued payment default, or other material breaches of payment obligations may entitle the Studio to extraordinary termination of the respective contract or membership in accordance with applicable law.
§ 7 Booking and Participation Rules
7.1 Advance Booking
Participation in the Services Offered by the Studio requires prior booking through the Studio's Booking System or by other booking methods designated by the Studio.
The Studio reserves the right to implement and modify reasonable booking rules, waiting lists, cancellation periods, participation limits, access restrictions, attendance procedures, and booking requirements in order to ensure the fair allocation of available capacities and the proper operation of the Services Offered.
Customers are responsible for ensuring that their booking information, contact details, and participation data remain accurate and up to date.
The Studio reserves the right to deny participation where no valid booking exists or where applicable fees have not been paid in full.
7.2 Punctuality
Customers are requested to arrive punctually before the scheduled beginning of the respective class or service. In order to avoid disruption of ongoing classes and to maintain a safe and appropriate practice environment, the Studio reserves the right to refuse entry to Customers arriving after the scheduled starting time.
7.3 Health Responsibility
Participation in all classes and services offered by the Studio is at the Customer's own responsibility. Customers are responsible for ensuring that they are physically and mentally fit to participate in the respective class or activity.
Customers are obliged to inform the Studio and the respective instructor prior to participation of any relevant physical limitations, medical conditions, injuries, illnesses, or other circumstances that may affect participation or create health or safety risks.
7.4 Pregnancy and Injuries
Customers who are pregnant, recovering from injury, suffering from illness, or otherwise physically impaired participate at their own responsibility and are advised to seek appropriate medical advice prior to participation. The Studio and its instructors may recommend modifications, limitations, or exclusion from participation where reasonably necessary for health or safety reasons.
7.5 Behaviour and Conduct
Customers are expected to behave respectfully toward instructors, employees, other participants, and Studio property at all times. Disruptive, abusive, discriminatory, aggressive, unsafe, or inappropriate behaviour shall not be tolerated.
The Studio reserves the right to exclude Customers temporarily or permanently from participation in classes, events, Online Classes, or other services where behaviour materially disrupts operations, endangers health or safety, violates these Terms and Conditions, or otherwise unreasonably affects the Studio, instructors, employees, or other participants.
7.6 Hygiene and Studio Rules
Customers are required to observe reasonable hygiene standards and comply with any applicable Studio rules communicated by the Studio from time to time.
Participation may be refused where a Customer appears to suffer from a contagious illness, fails to comply with reasonable hygiene requirements, or otherwise creates a health or safety risk for other participants or Studio personnel.
7.7 Online Participation
Customers participating in Online Classes are responsible for ensuring that their participation environment is safe and appropriate for physical activity. The Studio shall not be responsible for injuries, damages, or technical disruptions arising from the Customer's individual participation environment or technical equipment.
7.8 Class Schedule and Studio Closures
The modification, suspension, rescheduling, relocation, replacement, or cancellation of Services Offered by the Studio shall be governed by Clause 8.5 of these Terms and Conditions.
The Studio may temporarily close all or part of its facilities on public holidays, during holiday periods, for maintenance works, staff training, illness, renovations, public health measures, force majeure events, or other operational reasons.
The Studio shall be entitled to temporarily close the Studio for holiday periods of up to four (4) weeks per calendar year. Planned closures shall, where reasonably possible, be announced at least four (4) weeks in advance.
Temporary closures, other than holiday periods of up to four (4) weeks per calendar year permitted under this Clause, shall not entitle the Customer to any reduction, refund, suspension, reimbursement, credit, or other compensation in relation to membership fees unless such closures exceed three (3) weeks in total during a calendar year, in which case the Customer shall receive an appropriate proportionate credit or offset against future membership fees, except where required by mandatory applicable law.
§ 8 Cancellation
8.1 Monthly Membership Cancellation
Monthly Memberships may be terminated by either party with at least five (5) calendar days' notice prior to the end of the applicable calendar month. Termination by the Customer must be submitted via email to info@yoga-nms.de. Termination by the Studio shall be communicated to the Customer via the email address provided by the Customer in connection with the booking of the respective Monthly Membership. The date of receipt of the termination notice shall be decisive for determining compliance with the applicable notice period.
The membership shall terminate at the end of the respective calendar month for which proper notice has been given.
The right of either party to terminate for good cause (außerordentliche Kündigung aus wichtigem Grund) shall remain unaffected. Good cause may exist in particular where continued performance of the contractual relationship cannot reasonably be expected. Examples may include long-term illness evidenced by an appropriate medical certificate, relocation of the Customer's permanent residence to a location more than thirty (30) kilometres from the Studio, or other circumstances permanently preventing the use of the Services Offered.
8.2 Workshop and Event Cancellation
Unless otherwise specified on the applicable booking page, the following cancellation conditions shall apply to Workshops and Events:
- More than 14 days before the scheduled start date: a full refund of the applicable fee.
- Between 14 and 7 days before the scheduled start date: a refund of fifty percent (50%) of the applicable fee.
- Less than 7 days before the scheduled start date: no entitlement to any refund.
Cancellations must be submitted via email to info@yoga-nms.de. The date of receipt by the Studio shall be decisive.
If a suitable replacement participant is provided by the Customer and accepted by the Studio prior to the commencement of the respective Workshop or Event, the Studio may, at its reasonable discretion, waive the applicable cancellation charges.
8.3 Cancellation of Other Services Offered
Unless otherwise expressly provided in Clauses 8.1 or 8.2, or on the applicable booking page, cancellations by the Customer in respect of Services Offered must be made at least twenty-four (24) hours before the scheduled start time through the Studio's Booking System or via the email info@yoga-nms.de.
Cancellations received less than twenty-four (24) hours before the scheduled start time shall be treated as a late cancellation.
8.4 No-Shows and Late Cancellations
In the event of a late cancellation pursuant to Clause 8.3 or a non-attendance (no-show), the booked Service Offered shall be deemed used and no entitlement to replacement, refund, reimbursement, credit, or any other form of compensation shall arise except where required by mandatory applicable law.
Where participation is based on a Class Card, Prevention Course Card, Monthly Membership, prepaid entitlement, or similar participation model, the respective class, session, or participation entitlement shall be deemed used and deducted accordingly.
As a gesture of goodwill and without acknowledgement of any legal obligation, the Studio may permit one late cancellation or no-show per calendar quarter without deduction or charge. The granting of such exception shall be at the sole discretion of the Studio and shall not establish any recurring entitlement or precedent.
8.5 Cancellation or Changes by the Studio
The Studio reserves the right to modify, reschedule, replace, relocate, restrict, suspend, or cancel any Services Offered where reasonably necessary for operational, organizational, technical, staffing, health, safety, weather-related, force majeure, insufficient attendance, or other legitimate reasons. The Studio may appoint substitute instructors, offer alternative dates, replacement services, Online Classes, substitute Services Offered, or proportionate credits where reasonably appropriate.
A Service Offered may be cancelled due to insufficient attendance, including in particular where fewer than three (3) participants are registered for the respective Service Offered.
In the event of cancellation by the Studio, any payments already made shall be refunded in full. Further claims by the Customer, including, without limitation, reimbursement of travel, accommodation, meals, insurance, visa fees, parking costs, childcare expenses, lost earnings, or any other third-party costs or consequential expenses incurred in connection with the respective Service Offered, shall be excluded, except where required by mandatory applicable law.
In the event of force majeure, including pandemics, governmental orders, natural disasters, public health restrictions, official closures, or other unforeseeable circumstances beyond the Studio's reasonable control, the Studio may temporarily suspend, modify, relocate, or otherwise adapt its Services Offered. Where reasonably possible, the Studio shall endeavour to provide suitable alternatives, including Online Classes, rescheduled Services Offered, credits, substitute services, or alternative dates.
§ 9 Liability
9.1 Liability of the Studio
To the maximum extent permitted by applicable law, the Studio shall not be liable for any indirect, incidental, consequential, special, or other purely economic damages, including, without limitation, economic losses, loss of profit, or other consequential losses, regardless of the legal basis of the claim and even if the Studio has been advised of the possibility of such damages.
Subject to the exclusions and limitations set out below and to the maximum extent permitted by applicable law, the Studio's total and aggregate liability arising out of or relating to a particular Service Offered, irrespective of the legal basis of the claim, whether arising in contract, tort (including negligence), statute, or otherwise, shall not exceed the total fees actually paid by the Customer for the specific Service Offered giving rise to the claim. This limitation shall apply regardless of the number of claims, incidents, or proceedings arising out of or relating to the same Service Offered.
Nothing in these Terms and Conditions shall exclude or limit the Studio's liability for (i) intent (Vorsatz); (ii) gross negligence (grobe Fahrlässigkeit); (iii) injury to life, body, or health; (iv) fraudulent misrepresentation (arglistige Täuschung); or (v) any other liability that cannot be excluded or limited under mandatory applicable law.
The limitations and exclusions of liability set out in this Clause shall also apply for the benefit of the Studio's legal representatives, employees, instructors, agents, and vicarious agents (Erfüllungsgehilfen).
9.2 Personal Belongings
The Studio accepts no liability for loss of, theft of, or damage to personal belongings, valuables, clothing, equipment, or other items brought onto the Studio premises or used in connection with the Services Offered, except where such loss or damage results from intent, gross negligence, or other mandatory statutory liability.
9.3 Liability of the Customer
The Customer shall remain liable in accordance with the applicable statutory provisions for any damages, losses, costs, or expenses caused by the Customer through intentional or negligent breach of these Terms and Conditions, misuse of the Services Offered, damage to Studio facilities, equipment, or property, or infringement of the rights of the Studio, its instructors, employees, other participants, or third parties.
§ 10 Right of Withdrawal (Widerrufsrecht)
10.1 Statutory Right of Withdrawal
If the Customer is a consumer (Verbraucher) within the meaning of § 13 BGB and concludes a distance contract or an off-premises contract with the Studio, the Customer shall have the statutory right of withdrawal in accordance with the applicable provisions of the German Civil Code (BGB).
The Customer has the right to withdraw from the contract within fourteen (14) days without giving any reason. The withdrawal period shall expire fourteen (14) days after the date on which the contract is concluded.
To exercise the right of withdrawal, the Customer must inform the Studio to the contact information below by means of a clear statement (e.g. by email or post) of the decision to withdraw from the contract.

To meet the withdrawal deadline, it is sufficient that the communication concerning the exercise of the right of withdrawal is sent before the withdrawal period expires.
10.2 Consequences of Withdrawal
If the Customer withdraws from the contract, the Studio shall reimburse all payments received from the Customer without undue delay and, in any event, no later than fourteen (14) days after receipt of the notice of withdrawal.
The reimbursement shall be made using the same means of payment used by the Customer for the original transaction unless expressly agreed otherwise.
Where the Customer has expressly requested that the Studio commence performance of the booked Service Offered before expiry of the withdrawal period and subsequently exercises the right of withdrawal before the respective Service Offered has been fully performed, the Customer shall be required to pay a proportionate amount for the Services Offered already provided until the Studio has received the notice of withdrawal, insofar as such compensation is permitted under mandatory applicable law.
10.3 Commencement of Services During the Withdrawal Period
The Customer may expressly request that the Studio commence performance of the booked Service Offered before expiry of the statutory withdrawal period.
Where a booked Service Offered is fully performed during the withdrawal period, including, in particular, Drop-In Classes, Private Classes, Workshops, Events, or other one-time Services Offered, the Customer's statutory right of withdrawal shall expire upon complete performance of the respective Service Offered, provided that:
(a) the Customer has expressly requested commencement of performance before expiry of the withdrawal period; and
(b) the Customer has acknowledged that the right of withdrawal is lost upon complete performance of the contract.
For Services Offered that are performed on a recurring basis, over a period of time, or in several individual sessions, including Monthly Memberships, Online Memberships, Class Cards, Prevention Course Cards, Retreats, Workshops, Events and comparable Services Offered, the statutory provisions governing the right of withdrawal and any proportionate compensation payable for Services Offered already provided shall apply.
The Customer's express request for commencement of performance before expiry of the withdrawal period and, where applicable, the Customer's acknowledgement of the resulting loss of the right of withdrawal shall be obtained during the booking process.
10.4 Model Withdrawal Form
The Customer may, but is not obliged to, use the statutory Model Withdrawal Form (Muster-Widerrufsformular) when exercising the statutory right of withdrawal. If the Customer chooses to use the Model Withdrawal Form, the completed form shall be sent to the Studio using the contact details set out in Clause 10.1.

§ 11 Data Protection
The Studio processes the Customer's personal data in accordance with the applicable data protection laws, including the General Data Protection Regulation (Regulation (EU) 2016/679) ("GDPR") and applicable data protection laws.
Personal data provided by the Customer, including, without limitation, contact details, booking information, and other information necessary for the provision of the Services Offered, shall be processed solely for the purposes of performing the contractual relationship, administering bookings, communicating with the Customer, and complying with applicable legal obligations.
Further information regarding the processing of personal data is available in the Studio's Privacy Policy on the Studio's website.
§ 12 Amendments to the Terms and Conditions
The Studio reserves the right to amend these Terms and Conditions where such amendment is reasonably necessary due to changes in applicable law, court decisions, regulatory requirements, technical developments, or operational requirements, provided that the amendment does not materially alter the essential contractual rights and obligations of the Customer.
The Studio shall notify Customers affected by a proposed amendment in text form (e.g. by email) at least fifteen (15) days before its proposed effective date. The notification shall specify the proposed amendment, its effective date, the Customer's right to object or, where applicable, terminate the affected ongoing contractual relationship with effect from the proposed effective date, and the fact that, unless the Customer objects or, where applicable, terminates the affected ongoing contractual relationship before the proposed effective date, the amendment shall be deemed accepted.
§ 13 Consumer Dispute Resolution (VSBG)
Pursuant to § 36 of the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz – VSBG), the Studio informs Customers that it is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 14 Governing Law
These Terms and Conditions and all contractual relationships between the Studio and the Customer shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
§ 15 Severability Clause
Should any provision of these Terms and Conditions be or become wholly or partially invalid, illegal, or unenforceable, the validity of the remaining provisions shall remain unaffected.
The invalid, illegal, or unenforceable provision shall be replaced only where and to the extent required by applicable law.
§ 16 Final Provisions
These Terms and Conditions constitute the entire agreement between the Studio and the Customer regarding the Services Offered, unless expressly agreed otherwise in writing.
Headings are included for convenience only and shall not affect the interpretation of these Terms and Conditions.
